These Terms of Use ("Terms") govern your access to and use of the XRPLDEX.io website located at https://xrpldex.io (the "Site") AND any Server or Virtual Private Server (VPS), using the URL's: https://<IP-address>:8080, https://<IP-address>:8081, and https://<IP-address>:8089 (where "<IP-address>" is the IP address of that Server or VPS), when the Site (including just the XRPLDEX.io Site Name or Logo), and/or related services, including the decentralized application ("dApp"), "Dex Node™" (collectively called the "Services"), provided by Agentic Web3, S.A. dba XRPLDEX.io ("we," "us," or "our"), are running on that Server or VPS using those ports, or any other ports on that Server or VPS, which deliver all or any part of the Services, after you have downloaded and/or installed the Dex Node™ software by Agentic Web3 / XRPLDEX.io on that Server or VPS.

The Services facilitate user interactions with the XRP Ledger (XRPL), a public blockchain, including swaps and other transactions via the XRPL decentralized exchange ("XRPL DEX").

By accessing, connecting a wallet to, or using the Services (including by authorizing any XRPL transaction), you agree to be bound by these Terms. If you do not agree, do not access or use the Services and immediately disconnect your wallet.

1. Eligibility and User Representations

You represent and warrant that:

You are at least 18 years old (or the age of majority in your jurisdiction).
You have the full right, power, and authority to enter into these Terms.
You are not a resident of, or accessing the Services from, any jurisdiction where use is prohibited by law.
You will comply with all applicable laws, including anti-money laundering (AML), know-your-customer (KYC), sanctions, and export control regulations.
You are solely responsible for determining the legality of your use in your jurisdiction.

2. Non-Custodial Nature of Services

The Services are strictly non-custodial. We do not:

Custody, control, or hold your digital assets, XRP, tokens (including RLUSD or others), private keys, seed phrases, or funds.
Act as a wallet provider, broker, exchange operator, custodian, or fiduciary.
Have access to or the ability to recover your assets.

You retain full control over your XRPL wallet and bear sole responsibility for securing your private keys, seed phrases, and any transactions you authorize. We have no ability to reverse, cancel, modify, or recover any transaction.

3. Blockchain Transactions and Irreversibility

All transactions occur directly on the XRP Ledger (XRPL), a public, decentralized blockchain. By signing and submitting any transaction:

You understand it is a real, binding blockchain transaction.
Transactions are final, irreversible, and cannot be canceled, reversed, or modified once confirmed on the XRPL.
We have no control over, ability to intervene in, or liability for XRPL network operations, confirmations, failures, or errors.

You acknowledge risks including network congestion, failed transactions, high fees during volatility, smart contract vulnerabilities (if applicable), and potential loss of funds due to user error or third-party actions.

4. Fees

In addition to standard XRPL network fees (paid directly to the XRPL for transaction processing), we charge a platform fee ("DEX Fee") of 0.5% in XRP per swap or applicable transaction.

Eg. If the transaction value is $1000 USD (i.e., swapping 1000 RLUSD for XRP) then the fee is $5.00 USD (five dollars). So if XRP is currently trading at $2.50 USD, then you will see 2 transactions after you complete the swap:

TX1: 400 XRP sent IN to your XRP Wallet

TX2: 2 XRP (the $5.00 fee) sent OUT of your wallet

This fee is automatically deducted as part of the authorized transaction. Fees are non-refundable.

You are solely responsible for all other costs, including gas/network fees, slippage, or third-party charges.

5. Prohibited Activities

You agree not to use the Services for any:

Malicious, harmful, fraudulent, illegal, or unauthorized purpose.
Violation of intellectual property rights, sanctions, or financial regulations.
Market manipulation, wash trading, or other deceptive practices.
Transmission of viruses, malware, or harmful code.

We reserve the right to restrict access or report suspected illegal activity without notice.

6. Know Your Customer (KYC)

The Platform is designed as a decentralized, non-custodial cryptocurrency exchange protocol and interface, prioritizing user privacy and sovereignty. Currently, we do not require users to create accounts, provide personal identification, or undergo Know-Your-Customer (KYC) verification processes.

No Personal Information Collected (Current Practice): We do not collect, store, or process personally identifiable information such as names, email addresses, phone numbers, government-issued identification, physical addresses, date of birth, or payment details.
Potential Future Collection: If compelled to do so by applicable law, regulation, or binding governmental or regulatory requirements (e.g., mandatory KYC/AML obligations in certain jurisdictions or for specific Platform features), we may in the future collect and process limited personal information necessary to comply with those requirements. Any such collection would be strictly limited to what is legally required, conducted transparently, and subject to the same stringent no-sharing commitments outlined in this Policy.

Should KYC become a requirement by Agentic Web3 dba XRPLDEX.io for the continued use of our Services, You agree to provide truthful, accurate, and complete information and a valid government-issued ID document (or other required verification materials) when requested. Failure to provide such information may result in restricted access to certain features or termination of your access to the Services.

We will not share your personal information with third parties except as required or compelled by law, a government entity, regulatory authority, or court order, or as otherwise described in our Privacy Policy. Our full Privacy Policy is available here: Privacy Policy.

7. Refund Policy

You acknowledge and agree that XRPLDEX.io has a strict "No Refund" policy for the Dex Node™ – NFT Node License (and any related licenses, subscriptions, or purchases). All sales and transactions are final. No refunds, returns, exchanges, or credits will be provided for any reason, including but not limited to change of mind, non-use, or dissatisfaction.

This policy aligns with the irreversible nature of blockchain transactions and the non-custodial services provided.

8. No Financial, Legal, or Investment Advice

The Services provide only a technical interface to the XRPL. We do not provide, and nothing on the Site or in the Services constitutes:

Financial, investment, legal, tax, accounting, or regulatory advice.
Recommendation to buy, sell, hold, or trade any asset.
Endorsement of any token, project, or transaction.

All use is at your own risk. Digital assets are highly volatile and speculative; you may lose all value. Conduct your own due diligence.

9. Risks and Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement.

You assume all risks associated with:

Blockchain technology, including hacks, exploits, phishing, lost keys, or irreversible errors.
Volatility, illiquidity, regulatory changes, or de-pegging of assets (e.g., stablecoins).
Downtime, maintenance, bugs, connectivity issues, or XRPL network failures.
Third-party integrations, bridges, or protocols.

We are not liable for any losses arising from these risks.

10. Limitation of Liability

To the maximum extent permitted by law, we (including our affiliates, officers, directors, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, assets, or opportunities, even if advised of the possibility.

Our total aggregate liability shall not exceed the fees you paid us in the 12 months preceding the claim (or $100 USD, if lower).

11. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights. You understand that the examples below are only some of the possibilities that could arise due to your failure to take appropriate precautions. They by no means constitute an exhaustive list of possibilities in which an adverse situation may arise with regard to your Dex Node™ Server or VPS:

You somehow reveal the password to your Server or VPS.
Your Server or VPS gets hacked, and someone is able to steal your private key.
You somehow reveal your private key, and your XRP wallet gets hacked.
You enter the wrong amount of XRP or RLUSD during a swap.
You neglect to reverse the XRP/RLUSD pair during a swap.
You neglect to verify whether the "Approx. XRP Received" is accurate.
You neglect to verify whether the "Approx. RLUSD Received" is accurate.

All of the above are situations that can be avoided if you understand what you are doing, take your time, and proceed with caution. However, as stated above, by no means do they constitute a complete list of adverse possibilities. You acknowledge this by agreeing to these Terms of Use, and/or simply connecting to the Services.

12. Changes to Terms

We may update these Terms at any time. Changes will be posted here with an updated "Last Updated" date. Continued use after changes constitutes acceptance.

13. Termination

We may suspend or terminate your access at any time, without notice, for any reason, including suspected violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Panama, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Panama City, Panama.

You waive any right to class actions or jury trials.

15. Miscellaneous

Entire Agreement: These Terms constitute the full agreement (aka the "Full Terms of Use" as shown on the Dex Node™ landing page).
Severability: Invalid provisions shall not affect the remainder.
No Waiver: Failure to enforce any right does not waive it.

If you do not agree to these Terms, discontinue use immediately and disconnect your wallet. You should also follow the Dex Node™ removal steps to completely delete the Software from your Server or VPS. Remember: until you do so, the private key that you entered during the Dex Node™ installation will remain on your Server or VPS.
